Trend Micro International, a global security software company, has signed a definitive agreement to acquire HP TippingPoint, a provider of next-generation systems for intrusion prevention (NGIPS) and network security solutions. The approximately US$ 300 million deal encompasses security technology, intellectual property, industry expertise, as well as a customer base comprised of large companies.
 
This acquisition positions Trend Micro as the “expert” provider of dynamic threat defense solutions spanning endpoints, networks, data centers and the cloud. Trend Micro will also combine existing and acquired capabilities to create a Network Defense business unit, serving more than 3,500 enterprise customers.
 
 “This acquisition complements Trend Micro's threat defense expertise, extending its strength across endpoint, cloud, data center and network breach detection,” said Mike Spanbauer, vice president of research at NSS Labs. “By combining two brands This transaction contributes to Trend Micro's corporate position in an industry unthreatened by competition and provides a single, complete threat defense solution for companies looking to invest in critical security."
 
In addition to proven network security, this agreement leverages the expertise of Digital Vaccine TippingPoint LABS (DVLabs), which provides real-time threat intelligence with innovative security filters for analyzing vulnerabilities and exploits. Another benefit is the Zero Day Initiative, which has disclosed zero-day vulnerabilities through the expertise of an extensive research community. In addition, the Trend Micro Smart Protection Network will use its resources and investigation teams to ensure industry-leading detection rates.
 
The agreement is expected to close by the end of the fourth quarter of 2015, subject to customary closing conditions and regulatory review requirements.
