The Ministries of Economy and Science, Technology, Innovations and Communications (MCTIC) opened, this week, a public consultation on the Legal Framework for Startups and Innovative Entrepreneurship, being prepared by the federal government in partnership with the private sector.
 
A group, formed by public bodies, companies linked to the entrepreneurial ecosystem, such as Dínamo, ABStartups, Anjos do Brasil and Abvcap, in addition to Sebrae, Endeavor and several law firms, has been discussing in recent months how to improve the business environment, facilitate investment and improve labor aspects in the startup universe. The objective is to identify bottlenecks that prevent the creation, growth, expansion and internationalization of these companies and, with that, propose normative improvements and also mechanisms to stimulate startups.
 
“We want to improve existing legislation and propose infra-legal norms such as decrees, regulations and normative instructions to advance on important points, such as public purchases”, explained Caio Megale, Secretary of Development for Industry, Commerce, Services and Innovation at the Ministry of Economy.
 
According to Megale, as startups are companies with a non-traditional business model and involve very high investment risk, current legislation needs to be adapted to the reality of these ventures.
 
“With the public consultation, we want to receive suggestions from entrepreneurs, lawyers, companies, specialists and other actors on each proposed point and, thus, build the best framework for startups to be increasingly competitive”, he added.
 
As the MCTIC Secretary of Entrepreneurship and Innovation, Paulo Alvim, explains, Marco Legal adds to other government initiatives that seek to encourage the number of innovative companies in the country.
 
“These are agile and flexible enterprises, which provide the solution to problems in the productive sector and society, generating income and more and better jobs. Several initiatives have supported startups, such as the ease of formalizing them in the new MP for economic freedom”, he recalled.
 
“The new proposal of the Legal Framework aims to complement the construction of a differentiated and more favorable environment for these ventures, mitigating financial and technological risks, ensuring greater legal certainty for companies and private investors and expanding market opportunities”, he said.
 
Suggestions must be registered on the website www.StartupPoint.gov.br  until June 23.
 
The consultation is divided into the following axes: simplified corporation; joint and several liability; simple national and investments; promotion of Research, Development and Innovation; stock option; legal definition of “startup”, investment facilitation; and collaborative relationship.
 
Actors involved
 
In addition to the Ministry of Economy, represented by the Subsecretariat for Innovation, an organ of the structure of the Secretariat for Development of Industry, Commerce, Services and Innovation of the Special Secretariat for Productivity, Employment and Competitiveness (Sepec), and the MCTIC, are part of the discussions on the Legal Framework for Startups BNDES, FINEP, ABDI, Federal Revenue, Central Bank, CNPq, Casa Civil, Apex-Brasil and Anatel.
 
ABStartups, Endeavor, Anprotec, Abvcap, Anjos do Brasil, Dínamo, Brazil Lab, CNI, and law firms also participate in the discussions.
